Terms of Service Agreement

Welcome to WhatsBot AI. These Terms of Service ("Terms") govern your access to and use of our AI-powered WhatsApp automation platform. By using our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using WhatsBot AI services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. We may update these Terms from time to time, and your continued use constitutes acceptance of any changes.

2. Service Description

WhatsBot AI provides an AI-powered platform for automating WhatsApp business communications. Our services include:

  • AI-powered chatbot agents for customer interactions
  • Lead capture and qualification automation
  • Conversation management and analytics
  • CRM and third-party integrations
  • Multi-language support and localization
  • Calendar booking and appointment scheduling

3. Account Registration

To use WhatsBot AI, you must:

  • Be at least 18 years old or have legal authority to bind your organization
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Have a valid WhatsApp Business account

4. Acceptable Use Policy

You agree NOT to use WhatsBot AI to:

  • Send spam, unsolicited messages, or bulk messaging without consent
  • Violate WhatsApp's Terms of Service or Business Policy
  • Transmit illegal, harmful, or offensive content
  • Impersonate others or misrepresent your identity
  • Collect personal data without proper consent
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems
  • Use our services for any fraudulent or deceptive purposes
  • Resell or redistribute our services without authorization

5. WhatsApp Compliance

As a WhatsApp Business Solution Provider, we require you to:

  • Comply with WhatsApp Business Policy and Commerce Policy
  • Obtain opt-in consent before messaging customers
  • Provide clear opt-out mechanisms in your communications
  • Respect message template guidelines and approval processes
  • Not use our platform for prohibited business categories

6. Payment Terms

By subscribing to WhatsBot AI:

  • You agree to pay all fees associated with your selected plan
  • Fees are billed in advance on a monthly or annual basis
  • All payments are non-refundable except as required by law
  • We may change pricing with 30 days advance notice
  • Overdue payments may result in service suspension
  • Usage-based fees (messages, API calls) are billed monthly

7. Intellectual Property

All intellectual property rights in WhatsBot AI, including software, designs, and content, belong to us or our licensors. You receive a limited, non-exclusive license to use our services. You retain ownership of your content and data, but grant us a license to process it for service delivery.

8. Data Processing

We process your data as outlined in our Privacy Policy. You acknowledge that:

  • We may use anonymized data to improve our AI models
  • Conversation data is stored securely and encrypted
  • You are responsible for compliance with data protection laws
  • We act as a data processor on your behalf
  • You must have legal basis to collect and process end-user data

9. Service Level Agreement

We commit to:

  • 99.9% platform uptime (excluding scheduled maintenance)
  • Response time of under 500ms for API requests
  • 24/7 monitoring and incident response
  • Regular security updates and patches
  • Service credits for downtime exceeding SLA

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to fees paid in the past 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • We do not guarantee uninterrupted or error-free service
  • We are not responsible for third-party service failures (WhatsApp, etc.)
  • Force majeure events excuse our performance obligations

11. Indemnification

You agree to indemnify and hold WhatsBot AI harmless from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate this agreement:

  • With 30 days written notice for convenience
  • Immediately for material breach of these Terms
  • Immediately if required by WhatsApp or regulatory authorities
  • Upon account closure, we will provide data export options
  • Certain provisions survive termination (liability, indemnification, etc.)

13. Dispute Resolution

Any disputes arising from these Terms will be resolved through:

  • Good faith negotiations between the parties
  • Binding arbitration under ICC rules if negotiations fail
  • Arbitration to be held in Tel Aviv, Israel
  • Each party bears its own arbitration costs
  • Small claims may be brought in local courts

14. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in Tel Aviv, Israel.
